1. The Service

AgentBookr provides business automation software designed to help users identify, organize, and manage publicly available business and property-related information from third-party websites selected by the user ("Third-Party Sources"). The Service allows data to be exported and integrated into supported systems.

AgentBookr is a neutral technology provider. We are not affiliated with, endorsed by, or associated with any Third-Party Source, and we do not control the content made available on those sources.

2. Eligibility & Account Responsibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity conducted under your account
• Ensuring that any users you authorize comply with these Terms

3. Lawful Use & User Responsibilities

You agree that you will:

• Use the Service solely for lawful business purposes
• Access Third-Party Sources only in ways you are legally permitted to do
• Comply with all applicable laws, regulations, and industry standards
• Ensure your outreach, marketing, and communications comply with applicable laws, including but not limited to CAN-SPAM, CASL, TCPA, and applicable privacy regulations
• Honor opt-outs, unsubscribe requests, and do-not-contact lists

AgentBookr does not provide legal advice and does not determine how you use exported data.

4. Prohibited Uses

You may not use the Service to:

• Bypass or circumvent access restrictions, authentication measures, or paywalls without authorization
• Engage in deceptive, fraudulent, abusive, or unlawful activity
• Conduct mass unsolicited communications in violation of applicable law
• Harvest credentials, distribute malware, or interfere with system integrity
• Reverse engineer, resell, sublicense, or commercially exploit the Service without written consent
• Misrepresent your identity or relationship with any Third-Party Source

5. Access Standards & Platform Safeguards

To maintain system integrity and service availability, AgentBookr may implement technical, rate-based, or usage-based safeguards. We reserve the right to pause, limit, or modify activity that poses operational, legal, or reputational risk to the platform.

AgentBookr makes no guarantees regarding the continued availability, accuracy, or completeness of data from Third-Party Sources.

6. Data Ownership & Use Rights

As between you and AgentBookr:

• You retain ownership of data you export or store within your account
• You grant AgentBookr a limited, non-exclusive license to process, store, and transmit data solely for the purpose of providing and improving the Service
• AgentBookr does not sell your exported data.

AgentBookr may use anonymized, aggregated system data for analytics, security, and product improvement purposes.

7. Client Protection & Platform Neutrality

AgentBookr does not verify the accuracy, legality, or suitability of data for any particular use. Users are responsible for validating data before relying on it for business decisions.

Nothing in the Service constitutes legal, financial, brokerage, or compliance advice.

8. White-Label Use & Branding

You may present outputs generated through the Service under your own brand.

You may not:

• Use Third-Party Source logos, trademarks, or branding
• Imply endorsement, partnership, or affiliation where none exists
• Remove legally required notices from data where applicable

9. Third-Party Services & Infrastructure

The Service may rely on third-party software, infrastructure providers, or integrations. Availability may be affected by factors outside AgentBookr’s control.

AgentBookr is not responsible for interruptions caused by third-party systems.

10. Service Availability & Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied.

AgentBookr does not guarantee uninterrupted access, specific results, or business outcomes.

11. Limitation of Liability

To the maximum extent permitted by law: AgentBookr is not liable for indirect, incidental, special, consequential, or punitive damages.

AgentBookr’s total liability for any claim arising out of or relating to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless AgentBookr and its owners, officers, and affiliates from any claims, liabilities, damages, or expenses arising from your use of the Service, your communications, marketing, or outreach activities, your violation of these Terms or applicable law, or your use of Third-Party Source data.

13. Suspension & Termination

AgentBookr may suspend or terminate access to the Service at any time if you violate these Terms or pose legal or operational risk. Upon termination, you may export your data where technically feasible. Sections relating to liability, indemnification, and ownership survive termination.

14. Privacy & Data Processing

AgentBookr processes limited personal data necessary to operate the Service. Additional details are set out in our Privacy Policy and, where applicable, our Data Processing Addendum.

Each user remains solely responsible for their own data protection and compliance obligations.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page. Continued use of the Service after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
